Terms of Service

These Terms of Service ("Terms") govern your use of the Verjus platform (verjus.io), operated by Nicklas SARL, trading as The New Software Company — SIRET 91339724600012 — 31 Perspective de la Côte des Basques, 64200 Biarritz, France.

Important: By creating an account or using the platform, you agree to these Terms. If you do not agree, do not use the platform.

1. Acceptance of Terms

By creating an account or using our Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using our Services on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

The New Software provides a restaurant management platform that includes:

• Online reservation system
• Table management tools
• Guest Marketing (add-on)
• Point of Sale system (add-on)
• Email notifications
• Analytics and reporting
• Booking widget integration
• Calendar management

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time.

3. Account Registration

To use certain features of our Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Promptly update your information if it changes
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Pricing and Payment

Plans & Modules

• Verjus — €0 (up to 50 bookings/month)
• Verjus Pro — €39/month (unlimited bookings + full CRM)
• Guest Marketing — Included in all paid plans
• POS Module — coming soon
• Sales Module — coming soon

Restaurant subscriptions are billed via Mollie using credit card. Annual billing offers savings compared to monthly billing. Guest-facing payments (deposits, no-show charges) are processed via Stripe Connect through each restaurant's own connected Stripe account. Verjus does not hold guest payment funds.

All prices are in Euros (EUR) and exclude applicable taxes. We reserve the right to change prices with 30 days’ notice to active subscribers.

5. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription will remain active until the end of your current billing period
• You will not be charged for subsequent billing periods
• No partial refunds will be provided for unused time in the current period
• Your data will be retained for 30 days after cancellation

6. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Scrape or collect data without permission
• Use the Services for fraudulent purposes

7. Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, software, and the overall design, are owned by The New Software and protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by law, The New Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our Services.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts of Bayonne, France.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on our website or sending you an email. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.
